KATHMANDU: Nepal’s beverage industry is undergoing a significant structural shift as Gorkha Brewery has acquired 100 percent ownership of Raj Brewery, marking one of the most notable mergers in the country’s alcohol and FMCG sector in recent years.
The acquisition comes alongside a strategic cross-shareholding agreement, under which industrialist Raj Bahadur Shah has acquired a 15 percent stake in Gorkha Brewery, aligning domestic capital with global investment. The deal reflects a broader consolidation strategy led by Carlsberg Group, which fully acquired Gorkha Brewery two years ago and is now deepening its footprint in Nepal through both expansion and partnerships.
As part of its long-term strategy, Carlsberg has onboarded Jawalakhel Group of Industries as a local country partner, transferring up to 15 percent ownership. The formal handover of local partnership shares was completed during a high-level event in Kathmandu, where Carlsberg Chairman Henrik Poulsen handed over ownership to Jawalakhel Group CEO Sashin Joshi.
This partnership structure is expected to enhance operational agility, local market understanding, and regulatory navigation, while maintaining global standards in governance and efficiency.
With the inclusion of Raj Bahadur Shah on the board, Gorkha Brewery is now positioned to leverage both international expertise and domestic business acumen. The company continues to be led by Managing Director Arun Adhikari, with a fully Nepali management team overseeing operations.
In a parallel development, Carlsberg Group has announced an additional investment of Rs 10 billion aimed at scaling production capacity and strengthening supply chains. The investment will primarily focus on expanding operations through Raj Brewery and establishing a state-of-the-art beer production facility in Nawalparasi, spread across 25 bighas of land.
The new facility will emphasize keg beer production, targeting Nepal’s rapidly growing hospitality sector, including hotels, restaurants, and banquet businesses. This move aligns with shifting consumption patterns toward premium and draft beer experiences in urban centers.
The expansion is also expected to generate substantial employment, building on Gorkha Brewery’s existing workforce of over 1,000 direct employees and more than 15,000 indirect jobs across distribution, logistics, and retail networks.
Before announcing the investment, Carlsberg’s top leadership held discussions with Finance Minister Swarnim Wagle, seeking clarity on policy stability and the investment climate. According to company officials, the government’s commitment to creating a business-friendly environment played a crucial role in finalizing the expansion decision.
Carlsberg CEO Jacob Aarup-Andersen emphasized that Nepal offers strong growth potential due to its favorable demographics and expanding consumer base. He noted that the company is confident of scaling its operations significantly in the coming years.
Gorkha Brewery has been one of Nepal’s highest taxpayers, contributing Rs 32 billion in taxes in the fiscal year 2081/82 alone. Over the past five years, the company has reportedly paid taxes equivalent to USD 1 billion to the Government of Nepal.
Looking ahead, Carlsberg aims to expand its business to a scale where it can contribute up to USD 1 billion annually in taxes within the next five years—equivalent to more than Rs 150 billion per year at current exchange rates. This ambitious target underscores the company’s long-term commitment to Nepal’s economy.
Raj Bahadur Shah, now a key stakeholder in Gorkha Brewery, is also recognized as one of Nepal’s highest individual taxpayers, reinforcing the credibility of the domestic partnership.
The acquisition of Raj Brewery is expected to consolidate Gorkha Brewery’s leadership in Nepal’s beer market, enabling it to optimize production, distribution, and branding strategies. The deal also intensifies competition within the alcoholic beverage sector, particularly against other domestic and multinational players.
Analysts view this transaction as a milestone in Nepal’s industrial evolution, where global capital, local partnerships, and market consolidation are converging to create scalable business ecosystems.
With strong backing from Carlsberg, enhanced local participation, and aggressive expansion plans, Gorkha Brewery is now positioned not only as Nepal’s market leader but also as a potential regional player in South Asia’s beverage industry.
