Asian Life Insurance calls 17th AGM to approve dividend proposal

KATHMANDU: Asian Life Insurance Company Limited has convened its 17th Annual General Meeting (AGM) on June 30, 2025, at 1 PM in Kathmandu to approve a proposed dividend for the fiscal year 2080/81 (2023/24). The decision was made during the company’s board meeting on June 22, 2025.

The AGM will vote on distributing a total dividend of 5.36% from the company’s paid-up capital of NPR 3.39 billion. This includes a 5.10% bonus share worth NPR 173.39 million and a 0.26% cash dividend of NPR 9.12 million for tax purposes. The meeting will also authorize an increase in issued and paid-up capital following the bonus share distribution and empower the board to amend the company’s memorandum and articles of association as needed.

Additionally, the AGM will review the board’s annual report, the auditor’s report, and reappoint BK Agrawal & Company Chartered Accountants as the external auditor for the fiscal year 2081/82 (2024/25), determining their remuneration. The meeting will elect three directors from the promoter shareholder group, two from the public shareholder group, and nominate one independent director.

\For the AGM and dividend distribution, the company will close its books on June 20, 2025. Shareholders registered with the Nepal Stock Exchange (NEPSE) by June 19, 2025, will be eligible to participate in the AGM and receive the dividend. The proposed dividend underscores Asian Life Insurance’s commitment to rewarding shareholders amid steady financial performance.
