KATHMANDU: United Ajod Insurance Limited has announced its 31st Annual General Meeting (AGM) for June 30, 2025, at 10:30 AM in Kathmandu to approve a dividend proposal and revise its rights share issuance plan. The decision was made during a recent board meeting.
The AGM will endorse a 10.52% dividend for the fiscal year 2080/81 (2023/24), based on the company’s paid-up capital of NPR 2.1 billion. This includes a 10% bonus share worth NPR 210 million and a 0.52% cash dividend of NPR 11.05 million for tax purposes.
Additionally, the meeting will revise the previously proposed 15% rights share issuance. Following the bonus share distribution, the paid-up capital will rise to NPR 2.31 billion, prompting a new proposal to issue 10% rights shares (10 shares per 100 held), increasing the capital to NPR 2.54 billion, exceeding the Nepal Insurance Authority’s requirement.
The AGM will also amend provisions for directors’ remuneration, allowances, and facilities, and authorize the board to revise the company’s memorandum and articles as needed. It will review the board’s annual report, auditor’s report, and reappoint JB Rajbhandari & DiBins Chartered Accountants as the external auditor for 2081/82 (2024/25), setting their remuneration. The meeting will ratify director appointments.
For the AGM and dividend distribution, the company will close its books on June 19, 2025. Shareholders registered with NEPSE by the previous day can participate and receive the dividend.
